2.  Scope of Work 

The  Content  Provider  shall  perform  the  Services  set  forth  in  Exhibit  A  attached  hereto  (“Schedule  of 

Services").  In  addition,  Content  Provider  shall  furnish  such  Services  specifically  in  accordance  with  any 

UUOOI  manuals,  information  guides,  instructions,  procedural  requirements  and  schedules  (“information”) 

made  available  to  the  Content  Provider  as  of  the  signing  of  this  Agreement,  or  subsequently  and  as 

modifying same in accordance with Clause 12.2 below.
