For company driver with lease

REVIEW AND RECEIPT OF THIS AGREEMENT. Independent Contractor acknowledges that Independent Contractor has had an opportunity to read, review, and consider the provisions of this Agreement, that Independent Contractor has in fact read and does understand such provisions, and that Independent Contractor has voluntarily entered into this Agreement.

   NON-WAIVER. The failure of the Carrier to insist upon or enforce strict performance of any provision of this Agreement or to exercise any rights or remedies hereunder will not be construed as a waiver by the Carrier to assert or rely upon any such provision, right or remedy in that or any other instance.

   GOVERNING LAW: FORUM SELECTION. This Agreement shall be governed by the laws of the United States and the State of Florida. In the event of any litigation arising out of or relating to this Agreement or the parties' contractual relationship, the parties expressly agree to jurisdiction and venue in the Orange County, Florida, or applicable federal court in that jurisdiction and waive any defenses to this forum and venue selection.

   RELEASE AND INDEMNIFICATION. Independent Contractor, on behalf of itself, any owners, employees or agents, estate, heirs, personal representatives, successors and assigns of each of them (collectively, " Independent Contractor Parities"), hereby releases Carrier from all liability for injury suffered by Independent Contractor during performance of services under this Agreement, including any claims of negligence against Carrier. In addition, to the fullest extent permitted by law, Independent Contractor, and its drivers and agents, hereby agree to release, indemnify, defend and hold harmless Carrier and its owners, officers, directors, managers, employees, agents and contractors from any claim or suit asserted against Carrier, either directly by any of the Independent Contractor Parities or as a cross defendant or third party defendant, arising from any accident or occurrence causing or resulting in any property damage, personal injury, death or other loss suffered by Independent Contractor or its employees or agents under this Agreement. Independent Contractor agrees on the terms, conditions, and rules of this agreement. Independent Contractor, by below provided signature confirms fully understanding binding to this agreement.
