11. INSTALLATION AND COMMISSIONING
11.1. The Seller will provide at least 3 employees to run the supervision of the installation of the System. The Buyer on its turn will provide sufficient workforce to support the installation process. The Seller has the grand responsibility for the installation and commissioning of the System on time and required quality.
11.2. The installation period is agreed by Parties to be 2 complete weeks (14 days calendar days) from the moment of readiness of the System for installation. The System is deemed to be ready for the installation is the date when the System, has passed the Customs clearance process, is available for installation at the agreed site, normal weather conditions and pre conditions listed in article 5.4 are met. The readiness date of the System for installation has to be informed by the Buyer to the Seller through e-mail. The Buyer is solely responsible to make the System ready for installation works in the soonest possible time.
11.3. The date of receipt of works/services shall be deemed to be the date on which the Act of Acceptance of fulfilled works/services and start up act is signed by Buyer. Buyer has to respond 'ready for commissioning' notification in 5 working days. In case of buyer does not respond for commissioning in 5 working days, acceptance takes a place automatically. Parties declare and accept that, even there is not a written acceptance, in case Buyer and/or Seller start to use the System subject to the Goods in this Contract and/or there is not any rejection of the System within 10 banking days after delivery, the acceptance shall be deemed fulfilled. In the case of a motivated refusal of the Buyer to accept the works/services the Parties within 10 banking days draw up a double-sided act with a list of needed improvements, the timing of their execution, signed by responsible representatives of the Parties. In the case Seller failed to come in time for signing of the Act of needed improvements or unreasonably refused to sign Act of needed improvements, it comes into force after signing by the Buyer and shall be obligatory for both Parties.
