13. Severability
If any provision of this Agreement is held to be invalid or unenforceable for any reason, the remaining
provisions will continue in full force without being impaired or invalidated in any way.
14. Waiver
Failure or delay on the part of any Party to exercise any right, remedy, power or privilege hereunder will not
operate as a waiver. Any waiver must be in writing and signed by the Party granting such waiver in order to
be effective, and may be retracted by the waiving Party in the manner permitted by applicable law, subject
to any reliance by the non-waiving Party.
