Confidential courier partner service agreement

8. Limitation of liability
8.1.
Neither Party will be liable for indirect or consequential damages resulting from breach of this
Agreement.
8.2.
This limitation of liability shall not apply to damage caused intentionally or by gross negligence
or damages caused by breach of the confidentiality obligations set out in Section 5 or the
Courier Partner’s obligations set out in Section 7.
8.3.
The Courier Partner agrees to and acknowledges that Wolt does not warrant the quality of any
items sold or otherwise handed over by Wolt to the Courier Partner, and that Wolt shall not be
liable for any defects or other non-conformity of the items or for any personal injury, direct or
indirect damages resulting thereof. Any items sold or otherwise signed away or handed over
by Wolt to the Courier Partner are handed over “as is”.
9. Term and Termination
9.1.
This Agreement comes into effect upon signature by both Parties on the date written above
and shall remain in effect until further notice. Either Party may terminate this Agreement
without cause by giving thirty (30) day’s written notice of termination to the other Party.
9.2.
The Parties have the right to terminate this Agreement with immediate effect in case the other
Party materially breaches their obligations under this Agreement. For the sake of clarity, Wolt
may always terminate this Agreement with immediate effect in case the Courier Partner: (i)
does not hold some of the required permits or licenses including those set out under Section
2.3, (ii) has compromised food safety e.g. by not complying with the Food Safety Guidelines
attached hereto, (iii) has breached obligation related to data protection or privacy (including
Section 2.3.10; 3.1 or 7), (iv) has endangered the safety of the users of the Platform or Wolt’s
employees or courier or merchant partners, or (iv) has received frequent negative feedback
from the users (incl. merchants) of the Platform.

9.3.
The provisions of this Agreement which by their nature reasonably should survive the
termination or other expiration of this Agreement shall survive any expiration or termination of
this Agreement, including the confidentiality obligations set out in Section 5.
