FIBRUM SOFTWARE DEVELOPMENT KIT LICENSE AGREEMENT

Fibrum Unity 3D Software Development Kit Licence Agreement 1. Subject to the terms and conditions of this Licence Agreement (the “Licence”), Fibrum Limited (
and licence to use, reproduce, modify, and improve the software contained in this Fibrum Unity 3D Software Development Kit (the “SDK”), including, but not limited to, the samples, headers, and source codes. This Licence is subject to the following terms and conditions: 1.1. This Licence includes the non-exclusive licence and right to use (i) the SDK to make applications, content, games and demos (collectively and generally referred to as “Developer Content”) that run on the Fibrum approved mobile hardware and software products (“Fibrum Approved Products”) and which may incorporate the SDK in whole or in part in binary or object code;
1.2. For the sake of clarification when you use the SDK (including SDK Derivatives) in or with Developer Content, you retain all rights to your Developer Content, and you have no obligations to share or license Developer Content (including your source and object code) to Fibrum or any third parties; provided, however, Fibrum retains all rights and title in and to the SDK and the SDK Derivatives that may be incorporated into your Developer Content. 1.3. When using the SDK, you must at all times retain and keep all the logos and notices present on any elements of the SDK and shall not remove, alter or obscure the logos and notices in any way. 2. You, the recipient and user of the SDK, hereby agree and accept that that Fibrum shall own all right, title and interest to the intellectual property rights, including, but limited to copyright, neighbouring, sui generis, trademark and patent rights, to any SDK Derivatives that you may create, and you hereby assign any and all such rights to such SDK Derivatives to Fibrum, subject to the following. 2.1 We hereby grant to you a fully paid up, no-charge, royalty-free, world-wide, perpetual, revokable, non-exclusive right and licence back to use these SDK Derivatives solely in conjunction with the SDK (or any components of the SDK) and/or Developer Content on Fibrum Products as set forth herein. 2.2 Furthermore, for the sake of clarification, Fibrum and its assignees and licensees shall be free to use such SDK Derivatives without any approval from you and without compensation or attribution to you. You also agree upon Fibrum ’s request to provide the source and binary code of any SDK Derivatives to Fibrum. 3. Separate and apart from Developer Content, you may submit questions, comments, suggestions, ideas, plans, notes, drawings, original or creative materials or other information about Fibrum, the SDK or other Fibrum products and services (collectively, “Feedback”). You agree that Fibrum and its licensors shall be able to use the Feedback in any way it may choose without any obligation to you. 4. You may not sublicense or redistribute the source, binary, or object code of the SDK in whole or in part by itself for a charge or for no charge or as part of a for charge piece of Developer Content. If you wish to share the SDK with third parties, you shall not place it on your website, but you may, however , give a link to Fibrum’s website: www.fibrum.com , with the following copyright notice: “Copyright © 2015
Fibrum Limited. All rights reserved. ”. The SDK and any SDK Derivatives, and any Developer Content may only be used with Fibrum Approved Products and may not be used, licensed, sublicensed or redistributed to interface with mobile software or hardware or other commercial headsets, mobile tablets or phones that are not authorized and approved by Fibrum. 5. This Licence does not grant permission to use the trade names, trademarks, service marks, designs, passing off or product names of Fibrum, except as required for reasonable and customary use in describing the origin of the SDK or any element thereof. Fibrum reserves all rights not expressly granted to you under this Licence. Neither the name of Fibrum nor the names of Fibrum’s contributors, licensors, employees, or contractors, may be used to endorse or promote products derived from this SDK without specific prior written permission of Fibrum. 6. THIS SDK AND ANY COMPONENT THEREOF IS PROVIDED BY FIBRUM AND ITS LICENSORS AND CONTRIBUTORS ON “AS IS” AND “AS AVAILABLE” BASIS AND WITHOUT ANY WARRANTIES OF ANY KIND. FIBRUM EXPRESSLY DISCLAIMS ANY AND ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF NON-INFRINGEMENT, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. FIBRUM DOES NOT REPRESENT OR WARRANT THAT (A) THE FUNCTIONS CONTAINED IN THE SDK WILL BE ACCURATE OR MEET YOUR REQUIREMENTS; (B) THE OPERATION OF THE SDK WILL BE SECURE, UNINTERRUPTED, ERROR-FREE OR VIRUS-FREE,OR (C) ANY EFECTS IN THE SDK WILL BE CORRECTED. NO ORAL OR WRITTEN INFORMATION, GUIDELINES OR ADVICE GIVEN BY FIBRUM WILL CREATE A WARRANTY. THE FOREGOING DISCLAIMER OF WARRANTIES WILL APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. 7. In no event and under no legal theory, whether in tort (including negligence),contract, or otherwise, unless required by applicable law (such as deliberate and grossly negligent acts) or agreed to in writing, shall Fibrum, its licensors or any contributor be liable to you or your licensees or sublicensees for damages, including any direct, indirect, special, incidental, punitive or consequential damages of any character arising as a result of this Licence or out of the use or inability to use the SDK or any element thereof or any SDK Derivatives (including but not limited to damages for loss of goodwill, work stoppage, loss of use, data, computer failure or malfunction, or any and all other commercial damages or losses), even if you or such contributor has been advised of the possibility of such damages. F ibrum’s aggregate liability to you and your remedies under this Licence shall be limited to the sum of $100 (one hundred US dollars), if any, and you hereby waive your right to injunctive or other equitable relief. 8. You agree to defend, indemnify and hold harmless Fibrum and its affiliates, licensors, contractors and service providers, and each of their respective directors, officers, employees and agents (collectively, “Fibrum Indemnified Parties”) from and against all third-party claims, damages, costs, liabilities and expenses (including, but not limited to, reasonable attorneys’ fees) caused by, arising out of or related to (a) your use of SDK in violation of this Licence; (b) your violation of any other applicable terms, policies, warnings or instructions provided by Fibrum in relation to the SDK, (b) your violation of any applicable law or any rights of any third party while using the SDK; or (c) any Developer Content or Feedback you provide. 9. Fibrum reserves the right to terminate this Licence and all your rights hereunder in the event you materially breach this Licence, including, but not limited to, the following cases: 9.1. Intellectual property infringement by you with Developer Content or SDK Derivatives created by you that is used with or by the SDK or any part thereof, or any of the SDK Derivatives; 9.2. Developer Content that violates or infringes upon applicable law; 9.3. Health and safety issues associated with your Developer Content;
9.4. Failure to comply with or use properly this Licence; 9.5. Use of the SDK, SDK Derivatives with a commercial product other than an Fibrum Approved Product; and 9.6. Failure to provide required logos and/or notices or deliver source code and/or binary of SDK Derivatives as set forth herein. 10. This Licence may be amended by Fibrum on a prospective basis, and your usage of the SDK after such amendments or changes signifies your consent towards acceptance of any such amendments or changes on a going forward basis. As this Licence is updated for future releases of the SDK and/or any element thereof, you agree to abide by and meet all requirements of future updates of this Licence for those future SDK releases as evidenced by the same usage of the SDK or any element thereof and the future updates of this Licence will apply for that future Developer Content that may developed for or with that future SDK or any element thereof (i.e., you cannot sidestep out of the requirements of future updates of the Licence by developing against an older release of the SDK or Licence). 11. In the event any provision of this Licence is determined to be invalid, prohibited or unenforceable by a court or other body of competent jurisdiction, this Licence shall be construed as if such invalid, prohibited or unenforceable provision has been more narrowly drawn so as not to be invalid, prohibited or unenforceable and other provisions of the Licence shall be deemed severable from such invalid, prohibited or unenforceable provision and shall not affect the validity and enforceability of any remaining provisions. 12. You may not assign any rights or obligations under this Licence without the advance written consent of Fibrum, which may be withheld in its sole discretion. Fibrum may assign its rights or obligations under this Licence in its sole discretion without any notice to you. 13. Failure of either party at any time to enforce any of the provisions of this Licence will not be construed as a waiver of such provisions or in any way affect the validity of this Licence or parts thereof. 14. This Licence shall be governed by the laws of England and Wales, without giving effect to choice of law principles. Any dispute, controversy or claim arising out of or relating to this contract, including the formation, interpretation, breach or termination thereof, including whether the claims asserted are arbitrable, will be referred to and finally determined by arbitration in accordance with the JAMS International Arbitration Rules. The tribunal will consist of a sole arbitrator. The place of the arbitration will be London, the United Kingdom. The language to be used in the arbitral proceedings will be English.
