2.Reorganization and termination of enterprise activities
-It is important to know that the reorganization is carried out only by the decision of the founders (participants) or by the body of the legal entity authorized to reorganize the constituent documents.
Reorganization of legal entities can be in the following forms:1. Merger is by far the most common way of reorganization, in which one or more legal entities are merged into one, thereby reorganizing into a single legal entity;2. Accession is the form in which one or more legal entities join an existing legal entity;3. Separation is the form by which a legal entity terminates its activities by dividing it into two or more legal entities;4. Allocation is a form in which two or more legal entities are allocated from one legal entity;5. Transformation is the form by which the organizational legal form of a legal entity is transformed.

Termination of Business.. Any sale, lease or exchange of all, or substantially all, of the Company’s assets or business or any dissolution, liquidation or winding up of the Company. “Warrants.” The warrants issued in accordance with the terms of this Agreement and any Warrants issued in substitution for or replacement of such warrants, including those evidenced by a certificate or certificates originally issued or issued upon division, exchange, substitution or transfer pursuant to this Agreement.Termination Activities means the termination and unwinding of all activities of the Revolver Agent, the Revolver Lenders and their respective officers, employees, and agents in connection with the exercise of rights granted to Revolver Agent or the Revolver Lenders under Section 4 and Section 5(b) or any activities conducted by any of them on either of the Premises during the exercise of such rights, including removal of the Revolver Agent, any Revolver Lender, and their respective officers, employees, and agents from both of the Premises, the return of any information, documents or data made available pursuant to Section 4 and Section 5(b), and the completion of all restoration activities and payment of costs as set forth in Section 4(c)(v) and (vi).
