Article 1 - Purpose of the contract
The purpose of the TCs is to define the conditions under which Nfinite entrusts the Service Provider, in accordance with its competences defined in the preamble, with the production of the Deliverables necessary for the realization of the Services ordered by the Client, in accordance with the possible 1 selections and/or indications (choice of trends, styles, budgets, type of project, etc.) provided by the latter at the time of the order (the “Order”) as well as the terms and conditions for the execution of the Services by the Service Provider. Article 2 - Description of the Services offered by Nfinite to the Clients Nfinite offers its services to both individual and business Clients. The services offered to the Clients cover a variety of services in the field of architecture, design, computer graphics, layout or marketing and advertising. The Services offered by Nfinite to the Clients are defined in Appendix 1 as an indication and are subject to change, depending on the Orders and the skills demonstrated by the Service Provider. Article 3 - Sending, Receiving and Accepting Orders 3.1 Upon receipt of an Order from the Client, Nfinite shall send a written description of the Order to the Service Provider, based on (i) the Service Provider's expertise (in particular its business expertise), (ii) its activities and performance, (iii) its availability, and (iv) the Client's choices. The balance between the criteria shall be determined by Nfinite in its discretion for each Order, in consultation with the Client. Each Order description sent in writing to the Service Provider shall describe the proposed mission, including the timeframe for the completion of the Mission, the total price of the service, as well as all information relating to the Client's needs and projects, communicated or transmitted by the Client to Nfinite, if applicable. 3.2 The Service Provider shall be free to accept or refuse to execute a Mission submitted to it by Nfinite at its sole discretion. The Service Provider, having a self-employed status, is not bound by any contract of employment and is not subordinate to Nfinite. Reciprocally, the Service Provider shall not engage the responsibility of Nfinite in case of failure to propose a Mission likely to correspond to its skills. 3.3 The Service Provider undertakes and warrants that it will only accept to perform Missions for which it has the experience, skills and know-how necessary to perfectly execute the Order in order to meet the needs expressed by the Client, and for which it is able to meet the delivery deadline. 3.4 Within 3 working hours of Nfinite sending the description of the Mission to the Service Provider in writing, the Service Provider concerned shall confirm or not its availability and its wish to carry out the Nfinite Order.
