Article 11 - Guarantees
The Provider declares that it holds an insurance policy with a solvent insurance company covering its professional liability for any damage that may be caused as a result of the performance of the Services and undertakes to maintain it in force at its own expense for the entire duration of the Agreement. The Service Provider agrees to justify this without delay, at Nfinite' first request, and fully guarantees Nfinite in this regard. Article 12 - Miscellaneous Provisions 6 12.1 If one or more of the provisions of the present TCs are held to be invalid or declared as such by a law, a regulation or a final decision of a competent court, the other provisions of the present TCs shall remain in full force and effect. The Parties then agree to replace the clause declared null and void by a clause that is as close as possible in content to the clause initially agreed upon. 12.2 The present TCs express the entire will of the Parties. As such, they replace all previous agreements, letters and negotiations and prevail over any other document. Any modification or amendment of these TCs shall be binding on the Parties only if it has been made in writing by the Parties. 12.3 The Parties shall at all times act independently of each other and nothing in these TCs shall be construed as creating any subsidiary or joint venture or de facto company between the Parties. 12.4 The Parties elect domicile at the addresses provided when accepting these TCs. Any change of address of one of the Parties shall be notified to the other Party by registered letter with acknowledgement of receipt. 12.5 Each Party shall be liable for any direct damage it causes to the other Party or to third parties as a result of the Services, the Missions and/or the performance of the present TCs under the conditions of applicable common law. Each Party shall hold the other Party and its insurers harmless for any damages and/or liability it may incur in this regard. 12.6 The fact that one of the Parties does not avail itself of a breach by the other Party of any of the obligations referred to herein shall not be interpreted for the future as a waiver of the obligation in question.
