This Statement of Work Agreement (this “Agreement”) is entered and executed by and between WORLD MIRAL (the “Outsourcing Party”) with the principal office at Uzbekistan Tashkent City Yakkasaray district Khumo 57 and Webkul Software Pvt Ltd (the “Development Company”) having its registered office at H-28, Sector 63, NOIDA – 201301, Uttar Pradesh, India, and having its Corporate office at Regus Office Center Services Pvt Ltd Level 15, Eros Corporate Towers, Nehru Place New Delhi 110019 (India) on this day of January 25, 2023 (the "Effective Date").
WHEREAS, the Outsourcing Party desires to outsource certain work to the Development Company and therefore wishes to execute this Statement of Work Agreement (this “Agreement”) in this regard thereby setting forth the terms and conditions under which the Development Company will provide certain development services to the Outsourcing Party for the work so outsourced;
NOW THEREFORE THIS AGREEMENT WITNESSES that in consideration of the premises and the covenants and agreements herein contained the parties hereto agree as follows:
1. Scope of Services
1.1 Development Company agrees to provide the development and related professional services (the "Services"), to the Outsourcing Party for the work contracted under this Agreement. The Specifications of the work outsourced are described under clause 15: “Scope of Work”.
1.2 The aforesaid work so identified and contracted shall be defined and governed by an authorization granted by the Outsourcing Party including specific Services authorized, the schedule or term of service, the applicable rates and charges, and other appropriate terms and conditions, as it may be contained in this agreement.
1.3 All items prepared or required to be delivered with respect to the project undertaken by the Development Company are collectively referred to herein as the "Deliverables". Thus "Deliverables" for this project shall include
Source code of the program developed for the Outsourcing Party.
If any design-related task is done, then the PSD or Photoshop source file and images will be delivered.
If we have set up the server(hosting) in that case, we will provide the following details: FTP/SSH details, Database details, Platform’s backend/Admin credentials.
Relevant document of the program.
1.4 The projects contracted or outsourced by the Outsourcing Party shall be governed by the terms and conditions of this Agreement and in the event of a conflict between this Agreement and any contrary terms and conditions as averted by any of the parties during the course of dealing, the provisions of this Statement of Work shall prevail; while the terms and obligations contained in the existing Non-Disclosure Agreement previously signed by both Parties remain correspondingly valid.
1.5 The Deliverables, including the Software Requirements Specifications, incorporate the Intellectual Property of the Outsourcing Party and may not be used by the Development Company, or shared, sold, licensed, or transferred in whole or in part, to any third party.
2. Term
2.1 This Agreement shall have a term commencing on 25th January 2023 (“the Effective Date”) and will end on 10th March 2023 ("the Termination Date") unless mutually extended by the Parties in writing. This period would serve as the “Duration” for the completion of the project.
