11. Communication


11.1 Communication for the support of the customization will take place through the standard ticket system i.e https://webkul.uvdesk.com/en/ OR ERP system - https://erp.webkul.com


12. Assignment and Subcontracting


12.1 The Development Company shall not assign this Statement of Work or subcontract any work required to be performed by it without the prior written consent of the Outsourcing Party.


13. General Terms and Conditions


13.1 These Statements of Work constitute the sole and exclusive statement of the terms and conditions hereof and supersede any prior discussions, writings, and negotiations with respect thereto.


13.2 This Agreement shall not be amended except in writing signed by both parties.


13.3 This Agreement shall be interpreted and enforced in accordance with the laws of New Delhi, India.


14. Dispute Resolution
14.1 All or any disputes arising out of or touching upon or in relation to the terms of this agreement including the interpretation and validity of the terms thereof and the respective rights and obligations of the Parties shall be settled amicably by mutual discussion.

14.2 In case the disputes are not amicably settled, the same shall be referred to a sole Arbitrator who shall be an independent and neutral third party appointed exclusively by the Development Company. The Outsourcing Party shall not object to the appointment of the Arbitrator so appointed by the Development Company. The place of arbitration shall be New Delhi, India. The Arbitration & Conciliation Act, 1996 as amended by The Arbitration & Conciliation (Amendment) Act, 2015, shall govern the arbitration proceedings. The arbitration proceedings shall be held in the English language. The award passed by the Arbitrator shall be final and binding on the parties.
