2.2 Estimated arrival time (ETA)- (Time will be calculated after the full payment is received by the Development Company) – 40 Business days.


2.3 This Agreement shall remain in effect until the work authorized hereunder is completed as per the Scope of Work or is terminated earlier as provided herein. The Development Company would have deemed to complete its responsibilities to this Statement of Work when the development tasks undertaken by it are completed and the necessary Deliverables are delivered to the Outsourcing Party.


3. Price and Payment

3.1 The Outsourcing Party agrees to pay the Development Company the fees or rates as specified herein for Services performed as described in the Scope of work.





  • Design of the remaining Figma pages- 1500 USD (10 business days)

  • Development of the application cost and timeline- 4500 USD (30 business days)

3.2 Outsourcing party needs to pay the aggregate amount for the services rendered by the Development Company and the Development Company needs to provide an invoice of the Payment to the Outsourcing party on the basis of the above phases mentioned in 3.1


3.3 The tech stack of the development- Flutter


3.4 Payment terms-


First payment- (5500 USD)
1500 USD for the design and 70% of the development cost (So that we can start working on the payment gateway integration)
Second payment- (1350 USD)
Remaining payment of 30% before delivery (we will share a test APK and IPA to test the application and after the final payment only we will share the final APK and IPA)
4. Confidentiality


4.1 Development Company agrees to keep confidential all Deliverables and all technical, product, business, financial, and other information including but not limited to research and development, documentation, marketing plans, customer identity, and business methods of Outsourcing Party ("Confidential Information").


4.2 Development Company shall at all times protect and safeguard the Confidential Information and agree not to disclose, give, transmit or otherwise convey any Confidential Information, in whole or in part, to any other party.


5. Ownership


5.1 The Outsourcing Party owns the Intellectual Property contained in the Software Requirements Specification and the Deliverables, including the source code of the program


5.2 All third-party modules (other than those of the two Parties – the Outsourcing Party and the Development Company) purchased before or during the project by the Outsourcing Party will need to have a copy of the licenses of those modules submitted to the Development Company if relevant to this Statement of Work or the Deliverables. If the relevant copy of the licenses is not submitted by the Outsourcing Party, then any pursuit on the Development Company by any of the owners of those modules will be borne by the Outsourcing Party.
5.3 Any customization or module provided by the Outsourcing Party shall remain their sole property. The Development Company will not use those customizations for any purpose other than for fulfilling this contract and will delete all data developed for the Outsourcing Party within 3 months of the termination of the contract.
5.4 The Development Company has the right to use the information received from the Outsourcing Party to suggest improvements to the program, though the Development Company will not implement any such improvements without first obtaining consent from the Outsourcing Party in writing.


6. Records and Reports


6.1 Development Company shall maintain complete and accurate records of the work performed hereunder, and the amounts invoiced. Such records shall be in accordance with standard accounting practices and shall include, but not be limited to, time sheets and receipts for reimbursable expenses where applicable and previously agreed by both Parties.


6.2 Development Company will provide a regular project process status weekly to the Outsourcing Party, and also Development Company will provide the current progress status of the project at the request of the Outsourcing Party.


7. Warranties of Development Company


7.1 Development Company warrants that the Services shall be performed in a workmanlike, timely, diligent, and professional manner, and will be no less than in accordance with the Scope of Work (referred in clause 15).


7.2 Development Company warrants that all employees assigned to perform work under this Agreement shall have a level of skill and experience commensurate with the requirements of the task to which such employee is required to perform. Any employee involved in the development of the Scope of Work is bound under the same terms and obligations as the existing Non-Disclosure Agreement as long as he is part of Webkul.


7.3 Development Company warrants that all Deliverables shall be the original work product of the Development Company and will not be based on, or derived from, the proprietary information or items of a third party and that none of the Deliverables will infringe any copyrights, patents, trade secrets, or other proprietary rights of a third party. Development Company shall defend, indemnify and hold Outsourcing Party harmless from and against any and all damages arising out of any claim brought by a third party that any Deliverable may be infringing. If any work needs such kind of permission or activity, then there will be a prior written mutual consent between both Parties (the Outsourcing Party and the Development Company).


7.4 Development Company further warrants that all Deliverables shall conform to applicable specifications and requirements as set forth in the Software Requirements Specification and this Statement of Work. Development Company shall correct all errors, defects, inconsistencies, or malfunctions in any of the Deliverables discovered by the Outsourcing Party during the period ending thirty (30) days from the Outsourcing Party's receipt of the Deliverables, documentation, or other materials prepared hereunder. Additionally, the Development Company will provide 3 months of free support to the Outsourcing Party. The Development Company agrees to respond to any reasonable request for support made by the Outsourcing Party regarding the software program developed within 24 business hours of the request except for weekends and public holidays.
