3. CONTRACT PRICE
3.1. Total price of the Contract is _______ USD (_______ dollars). Total price of the Contract is fixed.
4. PAYMENT TERMS
4.1 The total price of the Contract shall be paid in USD through bank transfer to the account of Seller indicated in point 14.
4.1.1 The date of obligations performance on payment is the date of payment which the payment transfer from the Buyer’s bank account to the Seller’s bank account will occur.
4.1.2. Payments are to be made free and clear of any present and future taxes, levies or withholdings of whatsoever nature due at the territory of Turkey. All commissioning and other banking charges in connection with performance of this Contract within the territory of the Republic of Uzbekistan shall be borne by the Buyer, and out of the territory of the Republic of Uzbekistan shall be borne by the Seller.

4.2. 50% of the total amount of the contract – _______ US Dollars (_______ dollars) will be made by direct bank transfer to the SELLER's account at the expense of the no later than 5 (Five) banking days after signing the current contract by both parties and registering in the UEISV electronic system.

4.3. 45% of the contract Price – _______ US Dollars (_______ dollars), will be made by direct bank transfer to the SELLER's account at the expense of the BUYER's own foreign currency funds no later than 5 (Five) banking days after Seller has informed the Buyer about readiness of goods for shipment and correct shipping documents are provided by the Seller as listed in article

4.4. 5% of the contract Price – _______ US Dollars (_______dollars), will be made by direct bank transfer to the SELLER's account at the expense of the BUYER's own foreign currency funds no later than 120 (Hundred and twenty) calendar days after signing the Start-Up Act as in Attachment №2.
5. THE RIGHTS AND OBLIGATIONS OF THE SELLER
5.1. The shipment of the System will take place within 70 (seventy) days after the receipt by Seller of the payment of (“Down Payment”) in amount before shipment _______ US Dollars (_______ dollars), 50% from total amount of Agreement or by the latest delivery date _______ 2023. The Seller delivers PVC Pipes and PVC Fittings, weld-on glue and gaskets earlier until ______ 2023 after the first down payment.
The title to the System shall be transferred from “Seller” to the Buyer in the moment of delivery of the System on the conditions, which are indicated in the Article 7 of the present Agreement, after the Seller and Buyer will sign the Act of equipment Acceptance as in Attachment 3.
5.2 The Seller shall provide the following documents with shipped System or part of the System:

  Commercial invoice, stamped and signed by authorized representative of the Seller, with indication of the number and date of the Contract, the country of origin and the delivery terms (5 originals and 3 copies);
  
• 
  Original Contract
  
• 
  Transportation waybill (CMR) (1 original set and 2 copies) and/or railway bill and/or transportation waybill (bill of lading) and/or other relevant shipping documents;
  
• 
  The packing list (1 original and 5 copies) including:
  

• 
  Contract date and number;
  
• 
  net weight of each position of the Attachment No.1;
  
• 
  gross and net weight of each piece of the Systems;
  
• 
  reference to commercial invoice;
  

• 
  The Certificate of quality or Certificate of analyses and/or certificate of conformance or their certified copies;
  
• 
  The Certificate of origin (when requested by Buyer);
  
• 
  Export shipping customs declaration;
  
• 
  Insurance
  

5.3 The Seller shall provide guarantee in accordance with the conditions of the Article 8 of the present Contract.
5.4 The Seller is obliged to use appropriate packaging for the transportation to ensure full protection of the cargo from any kind of reasonably anticipated damage.
5.5. Packaging shall comply with international safety standards. The seller is responsible for providing appropriate containers.
5.6 The Seller shall obtain all the permissions and agreements necessary for execution and completion of his/her obligations under this contract.
5.7 The Seller shall deliver the Systems in accordance with delivery conditions indicated in article 7.1., together with all the specifications and certificates necessary for using the Systems.
