Article 5 - Remuneration of the Provider
For the performance of the Missions, the Provider shall receive a flat fee calculated on the basis of the
Client's Order.

As such, for each Mission, the Provider's remuneration will be specified in the writing containing the
description of the Mission, in accordance with Article 3.1.
5.2 Payment terms
The Service Provider shall issue an invoice corresponding to the remuneration set forth in Article 5.1,
provided that the Mission is completed in accordance with Article 4.2, within the specified timeframe
and subject to the validation of the Deliverables by Nfinite.
Payment shall be made by bank transfer within forty-five (45) days net from the date of the invoice.
5.3 The Service Provider declares and acknowledges that the remuneration provided for above also
includes, in addition to the remuneration for the Mission, the fixed and definitive remuneration for the
transfer and assignment of its rights on the Deliverables, as provided for in Article 10 of the TCs, in
accordance with the provisions of any applicable legislation regarding intellectual property, of which
the Service Provider expressly declares that it is aware.
5.4 The Service Provider declares and acknowledges that the remuneration provided for shall only be
effective in the event of a Mission completed in its entirety, i.e. from the delivery of all the
Deliverables, the follow-up and the various version modifications until the delivery of all the
Deliverables to the Client. In case of partial delivery or abandonment of the project, no remuneration
can be requested by the Service Provider.
Article 6 - Non-competition
6.1 The Service Provider undertakes (i) not to contact directly or indirectly a Client for whom it has
carried out a Mission, (ii) not to be entrusted directly or indirectly with a service related to the Services
by a Client of Nfinite, without going through the intermediary of the Platform and/or Nfinite, and this,
for a period of two (2) years as of the Client's last Order. Nfinite thus benefits from a two (2) year
exclusivity for any Service for which the Client would like to place an Order.
6.2 In the event of non-compliance with this commitment, the Service Provider shall pay Nfinite a
penalty equal to 50% of the amounts received for services performed without its intermediary. This
penalty shall be due by operation of law, upon simple sending of a formal notice and without prejudice
to any damages that Nfinite may seek in compensation for its loss.
