4.3. On the last day of a calendar month, Yandex shall
draw up an Electronic report and send it to the
Customer no later than five (5) working days after the
end of the calendar month.

4.4. The date of receipt of the Electronic report sent by
Yandex to the Customer by e-mail shall be deemed to be
the working day following the day of sending.
4.4. Датой получения Электронного отчета,
направленного компанией «Яндекс» Заказчик
электронной почте, считается рабочий день,
следующий за днем отправки.
4.5. The Parties determined that the Customer shall be
deemed to agree with the data specified in the
Electronic report, if within thirteen (13) calendar days
from the date of the Electronic report Yandex received
no written reasoned objections from the Customer.
Upon the expiration of the term stated above, no claims
related to the performance of the Agreement during the
Reporting Period shall be accepted.
4.5. Стороны установили, что если в течение 1
(тринадцати) календарных дней с даты Элект
отчета компания «Яндекс» не получила
обоснованных письменных возражений от За

4.6. The Customer shall be deemed to have discharged
its obligation to pay the Service Fee from the date of
receipt by Yandex of a bank confirmation of crediting
the entire amount of payment to the settlement account
of Yandex. In some cases, as Yandex may think fit, the
following documents can be deemed to confirm the fact
of payment: a) a facsimile of the payment order with the
bank’s payment stamp in case of a non-cash payment;
b) a facsimile of the payment receipt with the stamp of
the bank, through which the payment was made; c)
verification by Yandex of the payment made to Yandex
through payment systems in case of an e-payment
made by the Service.
4.6. Заказчик считается исполнившим свое
обязательство по оплате Сервисного сбора с д
получения компанией «Яндекс» банковского
подтверждения о зачислении полной суммы 
на расчетный счет компании «Яндекс». В неко
случаях, если компания «Яндекс» сочтет это
уместным, следующие документы могут счит
подтверждением факта оплаты: a) факсимиль
копия платежного поручения с печатью банка
подтверждающей оплату (в случае безналичн
платежа; b) факсимильная копия квитанции о
оплате с печатью банка, через который был
осуществлен платеж; c) подтверждение комп
«Яндекс» платежа, совершенного в адрес ком
«Яндекс» через платежные системы, в случае
электронного платежа, совершенного через С
4.7. The Parties agree that, for the purposes of this
Agreement, in particular, for the determination of the
amount of the Service Fee, only the Statistics Data
specified in the Partner Web Interface shall be used.
4.7. Стороны договорились о том, что для цел
настоящего Соглашения, в частности, для рас
суммы Сервисного сбора, должны использов
только Данные статистики, указанные в Партн
веб-интерфейсе.
5. GUARANTEES
5. ГАРАНТИИ
5.1. The Parties guarantee that they have all necessary
powers to conclude and perform the Agreement.

необходимые полномочия для заключения и
исполнения Соглашения.

5.2. Yandex guarantees that authorizing the Customer
to use the Services hereunder is not contrary to
applicable laws.
5.2. Компания «Яндекс» гарантирует, что
предоставление Заказчику полномочий на
использование Сервисов не противоречит
применимому законодательству.
5.3. With the exception of the guarantees expressly
stated in the text of the Offer, Yandex provides no other
express or implied guarantees hereunder and expressly
disclaims any guarantee or provision on the correct,
trouble-free and error-free operation and compliance of
the Services with the Customer’s specific goals.
5.3. За исключением гарантий, прямо установ
в тексте Оферты, компания «Яндекс» не
предоставляет других прямых или подразуме
гарантий по Соглашению и прямо отказывает
любых гарантий или оговорок о правильной р
без сбоев и ошибок, а также о соответствии С

6. CONFIDENTIALITY
6. КОНФИДЕНЦИАЛЬНОСТЬ
6.1. Hereunder, the concept "confidential information"
includes, but is not limited to organizational and
technological, commercial, financial and any other
information associated with the conclusion and
performance of the Agreement by the Parties, inter alia,
text information contained in the Requests, and the
terms of the Agreement.
6.1. В соответствии с Офертой понятие
«конфиденциальная информация» включает 
числе организационную, технологическую,
коммерческую, финансовую и прочую инфор
касающуюся заключения и исполнения Согла
Сторонами, в том числе текстовую информац

6.2. Any mentioning of Yandex shall be published and
the fact and/or details of cooperation related to the
Agreement shall be disclosed to third parties or to the
general public only upon prior written consent of
Yandex, except when it is obligatory to provide relevant
information in accordance with current laws.

также раскрытие фактов и (или) подробносте
сотрудничества, связанных с Соглашением, т
лицам или неограниченному кругу лиц разре
