8.4. Yandex has the right to refuse to conclude an
Agreement with a potential Customer at any stage of
negotiations if the Customer does not meet the criteria
of good faith and trustworthiness established by
Yandex. Yandex has the right not to disclose to the
Customer the reasons why Yandex classifies the
Customer as a counterparty that does not meet the
criteria of good faith and reliability.
8.4. Яндекс вправе отказать потенциальному
Заказчику в заключении Соглашения на любо
переговоров, если Заказчик не удовлетворяе
критериям добросовестности и благонадежн
установленным Яндексом. Яндекс вправе не
раскрывать Заказчику причины, по которым Я
относит Заказчика к контрагентам, которые н
удовлетворяют критериям добросовестности
благонадежности.
8.5. Parties could also agree to be bound by this Offer
(Agreement) by signing mutual agreement (either as
annex to current services agreement or separate
agreement).

9. DURATION AND TERMINATION OF THE AGREEMENT

9.1. The Agreement comes into force from the moment
of Acceptance of the Offer by the Customer and is valid
until the termination of the Agreement.

9.2. The Agreement can be terminated:

by agreement of the Parties at any time;
•
by either Party, in the manner of unilateral
repudiation of the Agreement, by giving written
notice to the other Party at least ten (10) calendar
days prior to the date of termination;
•
by Yandex, in the manner of unilateral repudiation of
the Agreement, by giving written notice to the
Customer, if the Customer failed to respect the terms
of the Agreement, if such failure was not remedied by
the Customer within a reasonable period of time, but,
in any case, no more than five (5) calendar days from
the date of notifying the Customer by e-mail thereof;
•
by the Customer, in the manner of unilateral
repudiation, as stipulated by cl. 3.4.4 hereof;
•
on any other grounds stipulated by this Agreement
and/or applicable laws.

9.3. The obligations of the Parties hereunder, which, by
their nature, shall continue to be valid (including the
obligations related to the confidentiality of information,
remaining settlements, the use of information) shall
remain in force after the expiration of the Agreement.

shall not exempt the Parties from liability for violations
of the terms of the Agreement arising during the term of

10. MISCELLANEOUS

10.1. Offer, Agreement and relations of the Parties
arising out of this Agreement shall be governed by law
of the Netherlands.

10.2. The Offer comes into force from the moment it is
posted on the Internet at
https://yandex.com/legal/taxi_saas_uzbekistan

valid until the Offer is revoked by Yandex.
Yandex may make any changes to Offer, the Agreement
(including without limitation the General Terms and
Annexes) which changes shall be binding upon the
